LYV Membership Agreement

Founders Clinical · effective on enrollment

1. Your membership

This Membership Agreement ("Agreement") is between LYV The Wellness Space ("LYV," "we," "us") and you, the member, and takes effect on the date you enroll. You are enrolling in the Founders Clinical plan at $999/month, with the benefits in Schedule A below.

2. Dues, billing & auto-renewal

Monthly dues of $999 are billed to your payment method on file on your monthly billing date, beginning at enrollment. There is $0 enrollment fee. Your membership is recurring and auto-renews each month until cancelled under Section 4. You authorize LYV to charge the card on file for recurring dues and any amounts you owe. If a payment fails, benefits may be suspended until the balance is resolved.

3. Minimum commitment

This plan has a 12-month minimum commitment. You agree to remain enrolled and pay the monthly dues for the full 12-month term. If you cancel before the end of the minimum commitment, you remain responsible for the remaining monthly dues through the end of the term.

4. Cancellation

After the minimum commitment, you may cancel at any time with 30 days' written notice before your next billing date. Cancellation stops future dues; it does not refund dues already paid. Unused credits (Section 5) are forfeited upon cancellation.

5. Membership credits

Credits are issued monthly as described in Schedule A. Food & beverage credits are issued after each paid monthly billing, do not roll over, and expire the day before your next billing date. Device credits, where included, follow the rollover rule stated in Schedule A. Credits have no cash value, are non-transferable, and are forfeited on cancellation.

6. Included services

Your plan includes the services and device access listed in Schedule A. Services are provided by appointment and subject to availability. Some services are included without using a credit, as noted.

7. Changes to pricing or terms

LYV may change plan pricing or terms with 30 days' notice; changes take effect at your next renewal. Continuing your membership after a change takes effect constitutes acceptance of the change.

8. Medical & wellness disclaimer

LYV's services are elective wellness and optimization services. They are not emergency care and are not a substitute for diagnosis, treatment, or advice from your physician. Clinical services are provided under the supervision of LYV's licensed providers. Always seek the advice of a qualified provider with any questions about a medical condition.

9. Assumption of risk & limitation of liability

Use of recovery devices and therapies (including HOCATT, hyperbaric oxygen, PEMF, red-light, and cryotherapy) carries inherent risks. You voluntarily assume those risks and agree to follow all staff instructions and safety guidance. To the fullest extent permitted by law, LYV's liability arising from your membership is limited to the amount of membership dues you paid in the preceding three (3) months.

10. Privacy & health information

LYV handles your information in accordance with its Notice of Privacy Practices and applicable law, including HIPAA where it applies. By enrolling, you consent to LYV creating and maintaining a clinical record for you in LYV's electronic health record system to support your care.

11. Communications consent

By enrolling you consent to receive membership- and care-related communications by email, and, if you opted in at checkout, by SMS (message and data rates may apply; reply STOP to opt out at any time).

12. Governing law

This Agreement is governed by the laws of the State of Ohio, without regard to its conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in Ohio.

13. Acceptance

By checking the agreement box and completing payment at checkout, you acknowledge that you have read, understood, and agree to this Agreement and Schedule A for the Founders Clinical plan.
